1. Introduction and Acceptance of Terms

Welcome to TokeCell ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the TokeCell website located at tokecell.com (the "Site") and all related services, features, content, and products offered by TokeCell (collectively, the "Services").

By accessing, browsing, or using our Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must not access or use our Services.

We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. Any changes will be effective immediately upon posting to the Site. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of such changes. 2. Account Registration

To access certain features of our Services, including the ability to purchase digital products, you may be required to create an account. When registering for an account, you agree to the following:

• You may not create more than one account per person. You may not assign or transfer your account to any other person or entity.
• We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or engaged in fraudulent or illegal activity.

3. Products and Services

TokeCell is a digital design assets marketplace that offers a curated selection of premium digital products for designers, developers, and creative professionals. Our product catalog includes, but is not limited to:

• Website Templates — responsive HTML, React, Vue, and other framework-based templates for web applications and landing pages.
• UI Kits — comprehensive collections of user interface components, design systems, and layout elements for web and mobile applications.
• Icon Packs — curated sets of vector icons available in SVG, PNG, and icon font formats.
• Fonts — professional typeface families in desktop and web font formats, including multiple weights and styles.
• Graphics — illustrations, social media templates, marketing materials, and other graphic design resources.

All products sold through TokeCell are digital goods available for instant download upon successful completion of payment. No physical products are shipped. You will receive access to your purchased files immediately through your account dashboard or via a download link sent to your registered email address.

We make every effort to ensure that product descriptions, previews, and specifications displayed on our Site are accurate. However, we do not warrant that product descriptions or other content on the Site are error-free, complete, or current. We reserve the right to modify, discontinue, or update any product at any time without prior notice.

4. Pricing and Payment

All prices displayed on our Site are quoted in United States Dollars (USD) unless otherwise stated. Prices are inclusive of applicable fees but may be subject to additional taxes depending on your jurisdiction. You are responsible for any applicable sales tax, value-added tax (VAT), or other governmental charges that may apply to your purchase.

We reserve the right to change the prices of our products at any time without prior notice. Price changes will not affect orders that have already been completed. Promotional pricing or discounts are valid only for the period specified and may be subject to additional terms.

All payments are processed securely through Stripe, our third-party payment processor. We accept the following payment methods:

• Credit Cards — Visa, Mastercard, American Express, and other major credit cards.
• Debit Cards — Visa Debit, Mastercard Debit, and other major debit cards.
• Alipay — available for customers who prefer this payment method.

By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our payment processor) to charge your payment method for the total amount of your order. Payment must be received in full before digital product access is granted.

TokeCell does not store your full credit card or debit card details. All payment information is encrypted and handled directly by Stripe in accordance with industry-standard PCI-DSS compliance requirements.

5. Digital Product License

Upon successful purchase and payment, TokeCell grants you a non-exclusive, non-transferable, perpetual license to use the purchased digital product(s) subject to the following terms:

5.1 Permitted Uses

• You may use the purchased product(s) in unlimited personal projects, including but not limited to personal websites, portfolios, and non-commercial applications.
• You may use the purchased product(s) in unlimited commercial projects, including but not limited to client work, commercial websites, SaaS applications, and products developed for sale to end users.
• You may modify, adapt, and create derivative works from the purchased product(s) for use in your own projects.
• You may use the purchased product(s) across multiple projects without additional licensing fees.

5.2 Prohibited Uses

• You may not redistribute, resell, sublicense, lease, or otherwise make the purchased product(s) available to third parties in their original or substantially unmodified form.
• You may not include the purchased product(s) in any open-source project or distribute them under any open-source license.
• You may not share your account credentials or download links with third parties to grant them access to purchased products.
• You may not claim ownership of the original design, code, or intellectual property contained in the purchased product(s).
• You may not use the purchased product(s) in a manner that competes directly with TokeCell, including but not limited to creating a similar marketplace or template store using our products as inventory.

Violation of these license terms may result in immediate termination of your license, account suspension, and potential legal action. If you are unsure whether a specific use case is permitted, please contact us at support@tokecell.com for clarification.

6. Refund Policy

TokeCell offers a 30-day money-back guarantee on all digital product purchases, subject to the conditions outlined below. We are committed to customer satisfaction and want you to be confident in every purchase you make.

6.1 Eligibility for Refund

• Refund requests must be submitted within thirty (30) calendar days from the date of purchase.
• The purchased product(s) must be unused. A product is considered "unused" if it has not been incorporated into any project, whether personal or commercial, and if the downloaded files have not been substantially modified or deployed.
• Refunds are available if the product does not match the description provided on the Site, if the product files are corrupted or defective, or if you experience technical issues that prevent you from accessing or using the product as intended.

6.2 Refund Process

• To request a refund, please contact our support team at support@tokecell.com with your order number and a brief explanation of the reason for your request.
• Our team will review your request and respond within three (3) business days.
• Approved refunds will be issued to the original payment method used at the time of purchase. Please allow five to ten (5–10) business days for the refund to appear in your account, depending on your payment provider.
• Upon issuance of a refund, your license to use the refunded product(s) is immediately revoked, and you must delete all copies of the product files from your systems.

6.3 Non-Refundable Situations

• Products that have been used, modified, or deployed in any project are not eligible for a refund.
• Refund requests submitted more than thirty (30) days after the date of purchase will not be honored.
• We reserve the right to deny refund requests if we detect patterns of abuse, including but not limited to repeated purchases and refund requests intended to obtain products for free.

7. Intellectual Property

All content on the TokeCell website, including but not limited to text, graphics, logos, trademarks, images, audio, video, software, data compilations, and the overall design and arrangement of the Site, is the property of TokeCell or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The TokeCell name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of TokeCell. You may not use such marks without the prior written permission of TokeCell.

The purchase of a digital product grants you a license to use that product as specified in Section 5 of these Terms. It does not transfer any ownership of intellectual property rights in the product to you. All rights not expressly granted in these Terms are reserved by TokeCell and the original creators.

If you believe that any content on our Site infringes upon your intellectual property rights, please contact us at support@tokecell.com with a detailed description of the alleged infringement. We will investigate all legitimate claims and take appropriate action in accordance with applicable law.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOKENCELL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to access or use the Services;
• Any conduct or content of any third party on the Services;
• Any content obtained from the Services;
• Unauthorized access, use, or alteration of your transmissions or content;
• Any bugs, viruses, or other harmful code that may be transmitted to or through the Services by any third party;
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.

IN NO EVENT SHALL TOKENCELL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO TOKENCELL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE SERVICES AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TOKENCELL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at support@tokecell.com. Upon account termination:

• Your access to the Site and your account dashboard will be revoked.
• You will no longer be able to download purchased products from your account. We recommend downloading all purchased products before requesting account termination.
• Licenses for products purchased prior to termination shall survive termination, provided that your use of such products continues to comply with the license terms set forth in Section 5.
• Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, and indemnity obligations.

TokeCell reserves the right to remove or delete any data associated with your account within a reasonable time following termination, in accordance with our Privacy Policy and applicable data retention laws.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in the State of Delaware.

You hereby consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum. Any claim or cause of action arising out of or related to the use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
